By creating a Spotline account, downloading the Spotline applications, or otherwise using the service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the service.
These Terms form a binding agreement between you and SPOTMIND HK Limited (Business Registration No: XXXX), a company incorporated in the Hong Kong Special Administrative Region ("Spotline", "we", "us").
1. The service
Spotline is a privacy network. The service encrypts your network traffic and routes it through Spotline-operated servers in Hong Kong, Tokyo, Singapore, and US-West.
The service is intended to protect users' network privacy on untrusted networks and to provide stable regional connectivity. The service is not designed for, and may not be used for, any unlawful purpose.
2. Eligibility
You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms. You are solely responsible for the security of your account credentials and for every activity that occurs under your account.
3. Subscription, billing, auto-renewal
Tiers and prices: Trial — free for 7 days, 1 device, 200 MB total cap across the trial period; Plus — USD 9 per month or USD 54 per year (effective USD 4.50 per month), 1 device, 100 GB per month fair-use cap; Family — USD 19 per month or USD 114 per year (effective USD 9.50 per month), 5 devices in one household, unlimited subject to fair use.
Subscriptions automatically renew at the end of each billing period at the then-current price. You authorise Spotline (and its payment processor) to charge your chosen payment method for each renewal until you cancel.
It is your sole responsibility to cancel before the renewal date. Auto-renewal charges are not refundable, irrespective of usage.
4. Modification of terms, pricing, service and regions
Spotline may modify these Terms, the price, the service offering, or the available regions at any time, in its sole discretion, with email notice at least 30 days prior to the effective date. Continued use of the service after the effective date constitutes acceptance of the modification.
Spotline may add, remove, or alter regions, gateways, features, or technical limits without further compensation or refund.
5. Account sharing prohibition
Plus is licensed for one natural person on one device. Family is licensed for members of the same household at the same residential address. Sharing credentials beyond the licensed scope, reselling access, or operating accounts on behalf of unrelated third parties is strictly prohibited.
Violation of this clause results in immediate suspension or termination of the account, without refund of any unused subscription period.
6. Acceptable use
Your use of the service is governed by the Acceptable Use Policy, which is incorporated into and forms part of these Terms.
7. Termination at sole discretion
Spotline may suspend, restrict, or terminate your account at any time, with or without cause, with or without prior notice. Where the termination is for cause — including but not limited to violation of these Terms, the Acceptable Use Policy, fraud, abuse, chargeback abuse, or non-payment — no refund of any unused subscription period will be made.
8. Geographic restriction; user responsibility for local law
The service may be unavailable, restricted, or unlawful in certain countries or territories. You are solely responsible for ensuring that your access to and use of the service complies with all laws applicable in your jurisdiction.
Spotline has no obligation to provide service or refund to users in restricted jurisdictions. Spotline disclaims all liability for any consequence arising from your use of the service in any jurisdiction in which such use is restricted or unlawful.
9. Intellectual property; anti-reverse engineering; no resale
All software, brand assets, marks, content, and underlying technology of the Spotline service are owned by Spotline or its licensors. We grant you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to use the Spotline applications strictly for your subscribed period and tier.
You shall not, and shall not permit any third party to: (a) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Spotline applications; (b) circumvent, disable, or interfere with security or technical measures of the service; (c) resell, sublicense, lease, or otherwise commercialise the service to any third party; or (d) use the service to develop a competing product.
10. No warranty
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, UPTIME, SECURITY, ACCURACY, OR NON-INFRINGEMENT.
Spotline does not warrant that the service will be uninterrupted, timely, secure, error-free, or that any defect will be corrected.
11. Service availability — no SLA
Spotline does not provide any service-level commitment, uptime guarantee, or compensation for downtime. Periods of unavailability — whether scheduled, unscheduled, or caused by third parties or by force majeure — give rise to no entitlement to refund, credit, or damages.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF SPOTLINE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, SHALL NOT EXCEED THE LESSER OF (A) USD 50 OR (B) THE SUBSCRIPTION FEES YOU HAVE PAID TO SPOTLINE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
IN NO EVENT SHALL SPOTLINE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFIT, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, WHETHER OR NOT SPOTLINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
13. Indemnification
You shall indemnify, defend, and hold harmless Spotline, its directors, officers, employees, agents, affiliates, and licensors from and against any and all claims, losses, damages, liabilities, judgments, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the service; (b) your violation of these Terms or the Acceptable Use Policy; (c) any unlawful activity carried out using your account; (d) infringement of any third party's intellectual property, privacy, or other rights; or (e) any harm caused by you to any third party.
Spotline reserves the right to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, in which case you shall cooperate fully.
14. Force majeure
Spotline shall not be liable for any delay or failure to perform resulting from causes beyond its reasonable control, including but not limited to acts of government, regulatory change, sanctions, judicial order, court action, network or carrier disruption, ISP throttling or blocking, internet routing failure, denial-of-service attack, war, civil unrest, terrorism, pandemic, fire, flood, earthquake, or other natural disaster.
15. Dispute resolution; mandatory arbitration; class action waiver
Any dispute, controversy, claim, or difference arising out of or in connection with these Terms, including any question regarding their existence, validity, breach, or termination, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted.
The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one. The language of the arbitration shall be English. The award shall be final and binding on the parties.
Notwithstanding the foregoing, Spotline retains the right at any time to seek injunctive or equitable relief in the courts of Hong Kong to protect its intellectual property, security, or to enforce these Terms.
YOU AGREE THAT DISPUTES BETWEEN YOU AND SPOTLINE SHALL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS. YOU WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. YOU WAIVE ANY RIGHT TO TRIAL BY JURY.
16. Governing law
These Terms are governed exclusively by, and shall be construed in accordance with, the laws of the Hong Kong Special Administrative Region, without regard to conflict-of-laws principles.
17. Survival
Sections 9 (Intellectual property), 12 (Limitation of liability), 13 (Indemnification), 15 (Dispute resolution), 16 (Governing law), 17 (Survival), 18 (Assignment), and any other provision that by its nature should survive termination, shall survive any expiration or termination of these Terms.
18. Assignment
You may not assign or transfer any of your rights or obligations under these Terms without Spotline's prior written consent. Spotline may freely assign these Terms in whole or in part to any successor entity or in connection with a corporate reorganisation, merger, or sale of assets.
19. Severability
If any provision of these Terms is held by a competent authority to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
20. Entire agreement; no third-party beneficiaries
These Terms, together with the Privacy Policy, the Refund Policy, and the Acceptable Use Policy, constitute the entire agreement between you and Spotline with respect to the service and supersede all prior or contemporaneous communications, proposals, and agreements.
Save as expressly provided, no person other than the parties shall have any right under the Contracts (Rights of Third Parties) Ordinance (Cap. 623) of Hong Kong to enforce any term of these Terms.
21. Service modification and capacity
Spotline reserves the right to: (a) modify bandwidth caps, throttling thresholds, and fair-use policies at any time on at least 30 days' email notice; (b) add, remove, or alter regions and gateway infrastructure (including any region jointly used with affiliated services) without compensation or refund; (c) upgrade, downgrade, or migrate underlying infrastructure (for example, AWS Lightsail tier changes or change of cloud provider) without prior notice to users; and (d) apply emergency throttling or temporary access restrictions during denial-of-service attacks, abuse spikes, regulatory events, or other operational incidents, without prior notice.
User acknowledges that bandwidth and connection speed are not guaranteed and may vary by region, time of day, infrastructure status, network conditions, and any abuse-mitigation actions described in these Terms or the Acceptable Use Policy.
22. Family plan
The Family plan licenses one (1) master account and up to five (5) invited member accounts in a single subscription group, for a maximum of 12 simultaneously connected devices (2 per account) across the group. The Family plan is not exclusive to legally related family members — invited members may be friends, colleagues, or housemates — but Spotline reserves the right to enforce per-account device limits and fair use to prevent commercial sharing.
The master account is solely responsible for billing, for cancelling the subscription, for adding or removing members, and for compliance of the group with these Terms. Members may use Spotline independently and may leave the family at any time without master approval; on leaving, the member retains no further entitlement under the master's subscription.
If the master account is suspended or terminated for fraud, chargeback abuse, non-payment or breach of these Terms, all member accounts in the same group will be suspended at the same time. If a member account is suspended for individual violation of these Terms or the Acceptable Use Policy, only that member's access is affected; the master and other members continue.
If the master cancels or downgrades the subscription, member access continues only until the end of the paid period; thereafter members must subscribe to their own plan or be re-invited to a separate Family group to continue using Spotline. No refund is owed to the master in respect of departing members or in respect of unused entitlement of any member.
